These Terms & Conditions ("Terms") are a binding agreement between you and The Collective Software Group LLC, a Tennessee limited liability company ("Company," "we," "us"), governing your access to and use of the PipelineGenie web application, APIs, and related services (collectively, the "Service"). By creating an account, signing in, or using the Service you agree to these Terms.
1. Eligibility & Account
You must be at least 18 years old and legally able to enter contracts. You are responsible for all activity under your account and for keeping your credentials secure. You must provide accurate information and keep it current. By creating an account you affirm you meet this age requirement.
1a. Platform Administration & Impersonation Logging
To provide support and maintain platform safety, authorized Company administrators may access, view, or temporarily impersonate accounts. Every impersonation event — start, stop, and scope changes — is written to a tamper-evident audit log with the actor's identity, the account touched, and the timestamp. By using the Service you consent to this logging. Impersonation is used only for support, security investigation, billing, and legal compliance; it is not used to view messages between you and your clients except when required to respond to a written support or legal request.
2. Service Description
PipelineGenie is a productivity tool for real estate professionals. It helps organize listings, buyer appointments, tasks, referrals, client communications, showing feedback, price strategy, and related workflows. The Service does not provide legal, tax, brokerage, or appraisal advice, and is not a substitute for licensed professional judgment.
3. Subscriptions, Billing & Taxes
Paid tiers renew automatically on the interval you select (monthly or annually) until cancelled. Fees are billed in advance and are non-refundable except as stated in our Refund Policy. Payments are processed by Stripe, Inc. as our payment processor; the Company remains the merchant and is responsible for the collection and remittance of any applicable sales, use, or similar transaction taxes. Prices are shown in USD unless otherwise stated and exclude taxes unless disclosed at checkout.
4. Seat Limits & Team Access
Each plan includes a defined number of user seats. Adding users beyond your seat limit requires an upgrade. Team owners are responsible for the actions of users they invite.
5. Customer Data
You retain all ownership rights in the data you upload (listings, client info, notes, files). You grant us a limited license to host, process, and display that data solely to operate the Service, for support, and to improve reliability and security. We do not sell your customer data, and we do not train third-party AI models on it.
6. Acceptable Use
- No unlawful, discriminatory, or fair-housing-violating use.
- No scraping, reverse engineering, or interference with the Service.
- No uploading of malware, spam, or content you do not have rights to.
- Do not use the Service to send bulk marketing email in violation of CAN-SPAM, CASL, TCPA, or similar laws.
7. AI Features
The Service uses artificial intelligence (including large language models and pricing models) to generate suggestions such as recommended list prices, coaching scripts, and drafted messages. AI output is probabilistic, may be inaccurate, and must be independently reviewed by a licensed professional before being acted on or shared with a client. We do not train, fine-tune, or share your customer data with third-party AI providers for model training. AI prompts include anti-steering guardrails that forbid demographic or protected-class references (Fair Housing Act, ECOA). See our AI Disclosure and Algorithmic Fairness Statement.
7a. Communications & Consent
By adding a client's email to the Service, you represent that you have an existing business relationship or prior consent to email them. Outbound emails from the Service comply with CAN-SPAM: every message includes the sender's physical mailing address (from your Company Settings) and a one-click unsubscribe. The Service does not currently send SMS; if that changes, we will collect written TCPA consent before the first send.
8. Third-Party Services
The Service integrates with third parties including Stripe (payments), Supabase (hosting & database), Resend/SendGrid (email delivery), and model providers such as Google, OpenAI, and Anthropic via our AI gateway. Your use of those services through PipelineGenie is subject to their own terms.
9. Confidentiality & Client Information
You represent that you have the authority to input your clients' contact details and property information. You must comply with applicable real estate license law, MLS rules, and privacy law when doing so.
10. Termination
You may cancel at any time from your billing settings. We may suspend or terminate your account for breach of these Terms, non-payment, or activity that risks the Service or other users. On termination, your access ends and your data may be deleted after a reasonable retention window (see the Privacy Notice).
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT IS ACCURATE OR APPROPRIATE FOR ANY SPECIFIC TRANSACTION.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DEALS.
13. Indemnification
You will defend and indemnify the Company against claims arising from (a) your use of the Service, (b) content or data you submit, or (c) your violation of these Terms or applicable law.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Davidson County, Tennessee, and you consent to their jurisdiction. Either party may seek injunctive relief for infringement of intellectual property in any court of competent jurisdiction.
15. Changes
We may update these Terms. Material changes will be announced in-app or by email. Continued use after the effective date constitutes acceptance.
